Agreement

By using our Software-as-a-Service (SaaS) platform, you agree to be bound by these terms of business. If you do not agree to these terms, please do not use our platform.

Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use our SaaS platform solely for your internal business purposes. You may not sublicense or distribute any part of our platform to any third party without our prior written consent.

Payment

Our SaaS platform is available on a subscription basis. You will be charged a monthly or annual fee, depending on the plan you choose. The fees for our services are set forth on our website, and we may update them from time to time. All fees are non-refundable.

Data

We will store your data on our servers as necessary for you to use our platform. We take appropriate measures to ensure the security and privacy of your data. However, we cannot guarantee that your data will be free from unauthorised access, loss, or damage.

Intellectual Property

All intellectual property rights in our SaaS platform, including our software, trademarks, and copyrights, belong to us. You agree not to copy, modify, distribute, or create derivative works based on our platform.

Limitation of Liability

We will not be liable to you for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our SaaS platform. Our total liability to you for any claims arising out of or in connection with these terms will not exceed the amount you paid us in the 12 months preceding the claim.

Termination

Either party may terminate this agreement at any time upon notice to the other party. Upon termination, your access to our platform will be immediately terminated.

Governing Law

These terms of business are governed by and construed in accordance with the laws of England and Wales.

Jurisdiction

The English courts will have exclusive jurisdiction over any claim arising out of or in connection with these terms of business.

User Conduct

You agree to use our SaaS platform in compliance with all applicable laws and regulations, and not to use the platform to engage in any illegal or unauthorised activities. You also agree not to use our platform to transmit or store any content that is infringing, defamatory, or otherwise objectionable.

Support and Maintenance

We will provide reasonable support and maintenance services for our SaaS platform during the term of this agreement. We will use reasonable efforts to resolve any issues that arise, but we do not guarantee that our platform will be free from errors or interruptions.

Updates and Changes

We reserve the right to update or modify our SaaS platform at any time, including adding or removing features, without prior notice. We will use reasonable efforts to provide notice of any material changes, but we are not liable for any damages or losses resulting from such changes.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our SaaS platform or any breach of these terms of business.

Dispute Resolution

Any disputes arising out of or in connection with these terms of business will be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration. The arbitration will be conducted in London, and the arbitrator's decision will be final and binding

Compliance with Laws

You agree to use our platform in compliance with all applicable laws and regulations, including data protection laws and export control laws.

User Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately if you become aware of any unauthorised use of your account.

Third-Party Services

Our platform may use or rely on third-party services or software. We make no warranties or representations regarding these third-party services or software, and we are not liable for any damages or losses that may arise from your use of them.

Force Majeure

We will not be liable for any failure or delay in performance under these terms of business due to circumstances beyond our reasonable control, such as natural disasters, acts of terrorism, or government actions.

Assignment

You may not assign or transfer your rights or obligations under these terms of business without our prior written consent.

Waiver

Any failure by us to enforce any provision of these terms of business will not be construed as a waiver of our right to enforce that provision in the future.

Entire Agreement

These terms of business constitute the entire agreement between you and us and supersede all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, regarding our SaaS platform.
